These Terms of Service ("Terms") govern your access to and use of services provided by Wolf Tech IT Solutions Corp ("Wolf Tech," "we," "our," or "us"), including our website, managed IT, cybersecurity, and consulting services.
1.Acceptance of Terms
By accessing our Site, signing a service agreement, or using any Wolf Tech service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our services.
2.Description of Services
Wolf Tech provides technology services that may include:
- ▸Managed IT services and helpdesk support
- ▸Cybersecurity operations, monitoring, and incident response
- ▸Compliance, WISP, and risk assessment services
- ▸Microsoft 365 administration and security hardening
- ▸Backup, disaster recovery, and business continuity planning
- ▸IT consulting, vCISO, and strategic advisory services
Specific service scope, deliverables, and SLAs are defined in your individual Service Agreement or Statement of Work.
3.Payment & Billing
Most managed services are billed under a recurring monthly flat-rate model. Unless otherwise stated in your Service Agreement:
- ▸Invoices are issued monthly in advance
- ▸Payment is due within the terms specified on your invoice
- ▸Late payments may incur interest and suspension of services
- ▸Project work and one-time engagements are billed per Statement of Work
- ▸Subscription fees and third-party software charges are non-refundable
We reserve the right to adjust pricing with 30 days' written notice.
4.Client Responsibilities
- ▸Provide accurate, timely information needed to deliver services
- ▸Maintain valid licenses and authorization for any third-party software
- ▸Designate a primary point of contact for security and IT decisions
- ▸Promptly review and act on security recommendations
- ▸Use services lawfully and in accordance with these Terms
5.Intellectual Property
All Wolf Tech materials — including documentation, runbooks, scripts, templates, software configurations, methodologies, and proprietary tooling — are and remain the exclusive property of Wolf Tech IT Solutions Corp.
Clients are granted a limited, non-exclusive, non-transferable license to use deliverables solely for internal business purposes during the term of the engagement. No ownership or redistribution rights are conveyed.
Client retains ownership of its own data, content, and credentials provided to Wolf Tech for service delivery.
6.Confidentiality
Each party agrees to protect the other's confidential information using at least the same care it uses for its own confidential information, and never less than reasonable care. Confidential information may only be used to perform obligations under the engagement.
7.Cybersecurity Disclaimer
You acknowledge that no security program eliminates risk. Wolf Tech delivers commercially reasonable safeguards but does not guarantee uninterrupted, error-free, or breach-proof services. Wolf Tech does not act as an insurer or underwriter of security outcomes.
8.Limitation of Liability & Hold Harmless
The Hold Harmless, indemnification, and limitation-of-liability provisions of our Privacy Policy & Terms of Use are incorporated by reference into these Terms.
To the maximum extent permitted by law, Wolf Tech's total aggregate liability, if any, shall be strictly limited to the amount paid by you for services in the twelve (12) months preceding the event giving rise to the claim. In no event shall Wolf Tech be liable for indirect, incidental, consequential, exemplary, or punitive damages.
9.Term & Termination
Engagements continue on a month-to-month basis unless otherwise specified in your Service Agreement. Either party may terminate with the notice period defined in the agreement. Upon termination, all outstanding fees become immediately due, and licenses to Wolf Tech materials end.
10.Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.
11.Changes to These Terms
We may update these Terms at any time. Updates will be posted with a revised Effective Date. Continued use of our services constitutes acceptance.
